Terms of Service

Agreement to Terms
By accessing or using Inverity, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you are entering into these terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree with any of these terms, you may not use Inverity.
Description of Service
Inverity provides a media optimization platform. The service includes:
- Image and video compression using adaptive and neural backends, orchestrated per asset.
- CMS, DAM, and commerce integration via OAuth 2.0 and supported connectors.
- Asset versioning and rollback.
- Workflow automation.
- Governance controls and approval workflows.
- Quality verification of outputs prior to delivery.
- REST API access (Pro and Enterprise plans).
Features vary by plan and may change as the service develops. We may add, modify, or discontinue features, and where a change is material we will provide notice as described in "Changes to Terms."
Account Registration
To use Inverity, you must:
- Provide accurate and complete registration information.
- Maintain the security of your account credentials.
- Be at least 18 years old.
- Have authorization to bind your organization to these terms, if registering on its behalf.
You are responsible for all activity that occurs under your account, and for maintaining the confidentiality of your credentials. Notify us promptly of any unauthorized use.
Payment Terms
Pro and Enterprise plans are billed in advance on a monthly or annual basis. Payment is processed via Stripe, and by providing payment information you authorize us to charge the applicable fees.
Failed payments result in a grace period of 7 days, after which your account enters a suspended state with read-only access. Fees are exclusive of taxes, and you are responsible for any applicable taxes other than those on our net income.
Refunds are not provided for partial billing periods. You may cancel at any time, and your access will continue until the end of the current billing cycle.
Acceptable Use
You agree not to:
- Upload, process, transmit, store, or deliver illegal, infringing, or harmful content.
- Upload content you do not have the rights, licenses, and permissions to submit and have processed.
- Upload content that contains malware or is designed to disrupt, damage, or gain unauthorized access to any system.
- Attempt to reverse engineer, decompile, or bypass security measures.
- Use the service to train competing machine learning models, or to extract, copy, or repurpose Inverity models, algorithms, or training data.
- Exceed rate limits or abuse API endpoints.
- Share API keys or account credentials.
- Use the service for automated scraping or data harvesting not authorized by us.
We scan uploaded files for malware and may refuse to process, quarantine, or remove any file we identify as malicious. Violation of this Acceptable Use section may result in immediate account suspension or termination.
Child Safety and CSAM
Inverity has zero tolerance for child sexual abuse material (CSAM). This section applies regardless of any other term in these Terms, including any provision relating to data retention, deletion, privacy, or confidentiality.
Prohibition. You must not upload, process, transmit, store, or deliver CSAM, or any content that sexually exploits or endangers a minor, through any part of the Inverity platform.
Detection. Media processed through Inverity is screened against known-CSAM hash databases. This screening is limited to matching against known illegal material and is not a general review of your content.
Our response. If we identify apparent CSAM, we may, and where required by law will, without prior notice to you: preserve the relevant material and associated records as required by law; report the matter to the National Center for Missing and Exploited Children (NCMEC) and to any other authority as required by applicable law; suspend or terminate your account; and cooperate with law enforcement.
Retention exception. Notwithstanding any retention or deletion schedule in these Terms or on our website, we may retain material and records that we are required by law to preserve, including in connection with apparent CSAM. This is the sole category of content exempt from our standard deletion schedule.
No liability for good-faith action. We may act under this section based on a good-faith determination that content is or may be CSAM, and we are not liable to you for any action taken in good faith under this provision.
Intellectual Property
Your Content. You retain all rights to assets you upload. You grant Inverity a limited, non-exclusive license to process, optimize, verify, store, and deliver your assets solely for the purpose of providing the service to you, and to the limited extent needed to comply with law.
Inverity IP. All neural models, optimization algorithms, software, and platform technology remain the exclusive property of Inverity. You may not extract, copy, or repurpose Inverity models or training data.
Feedback. If you provide suggestions or feedback about the service, you grant Inverity a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
Data Ownership, Processing, and Export
You own your data. Inverity acts as a data processor with respect to the content you submit, and processes it in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement. Enterprise customers may request a DPA.
You may export your optimized assets and metadata at any time via the dashboard or API.
Source assets and intermediate artifacts are retained only as long as needed to complete processing and verification, and are deleted no later than 30 days after processing. Upon account deletion, associated assets, job history, and personal data are permanently deleted within 30 days, subject only to the retention exception in the "Child Safety and CSAM" section and to any records we are otherwise required by law to retain.
We do not train, fine-tune, or evaluate our models on customer media. Further detail on how your media is handled is set out on our Trust page.
Third-Party Services
The service relies on third-party providers, including Amazon Web Services for infrastructure and Stripe for payment processing. Your use of the service may be subject to those providers' terms, and we are not responsible for the acts or omissions of third-party providers outside our reasonable control.
Confidentiality
Each party may receive information from the other that is confidential. Each party agrees to protect the other's confidential information with reasonable care, to use it only to perform under these Terms, and not to disclose it except to personnel and advisors who need it and are bound by similar obligations. This section does not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law.
Beta and Early-Access Features
We may offer features, including early-access or beta features, that are identified as preview, beta, or early access. These are provided "as is," may change or be withdrawn at any time, may be unstable, and are excluded from any service-level commitment. We may collect usage information about beta features to improve them, consistent with our Privacy Policy.
Service Availability and SLA
Inverity targets 99.9% uptime for API and core optimization services. Enterprise customers receive a formal SLA with defined uptime commitments and service credits. Beta and early-access features are excluded from these targets.
Scheduled maintenance is announced 48 hours in advance via email and the status page.
Disclaimer of Warranties
Inverity is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that optimization will achieve specific byte savings or quality metrics for all assets, or that the service will be uninterrupted or error-free.
Indemnification
You agree to indemnify and hold harmless Inverity and its officers, employees, and agents from any third-party claim, loss, or expense (including reasonable legal fees) arising from: the content you upload or process through the service; your violation of these Terms, including the Acceptable Use and Child Safety sections; or your violation of any law or third-party right. We will notify you of any such claim and may participate in its defense with our own counsel.
Limitation of Liability
To the maximum extent permitted by law, Inverity shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from use of the service. Our total aggregate liability arising from or related to these Terms shall not exceed the amount you paid to Inverity in the 12 months preceding the claim. These limitations do not apply to your indemnification obligations or to liability that cannot be limited by law.
Termination
You may cancel your account at any time from the dashboard. We may suspend or terminate accounts for: violation of these Terms of Service; violation of the Acceptable Use or Child Safety sections; non-payment after the grace period; or abusive or fraudulent activity.
On termination, your right to use the service ends, and we will delete your data in accordance with the "Data Ownership, Processing, and Export" section, subject to the retention exception. Sections that by their nature should survive termination, including Intellectual Property, Confidentiality, Indemnification, Limitation of Liability, and Governing Law, survive.
Export Controls and Sanctions
You represent that you are not located in, and will not use the service in or on behalf of, any country or party subject to applicable export-control or sanctions laws that would prohibit your use, and that you will comply with those laws in your use of the service.
Force Majeure
Neither party is liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental action, or failures of third-party providers or networks. This does not excuse payment obligations.
Assignment
You may not assign these Terms without our prior written consent, except to a successor in connection with a merger or sale of substantially all assets, on notice to us. We may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit the parties and their permitted successors.
Changes to Terms
We reserve the right to modify these terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance. If you do not agree to a change, you may cancel before it takes effect.
Governing Law and Dispute Resolution
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising from or relating to these Terms, and you consent to personal jurisdiction and venue there. Each party waives any objection to that venue.
